Thank you for your interest in Worx Community (“Worx,” “we,” or “us”) and our website at https://worx.community, along with our related websites, hosted applications, mobile or other downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Worx Community regarding your use of the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING WORX'S PRIVACY POLICY AND OTHER POLICIES REFERENCED BELOW (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND WORX'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY WORX AND BY YOU TO BE BOUND BY THESE TERMS.

ARBITRATION NOTICE

Except for certain kinds of disputes described in Section 18, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND WORX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

1. Worx Services Overview

Worx Community provides a platform where users can access learning communities in Morocco. Users can engage with content created by experts, participate in community discussions, and utilize resources provided through the platform. All content is provided by the applicable contributors, and Worx is not responsible for the accuracy or reliability of any content.

2. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that:

You are at least 18 years old.
You have not previously been suspended or removed from the Service.
Your registration and use of the Service comply with all applicable laws and regulations.

If you are an entity, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms.

3. Accounts and Registration

To access most features of the Service, you must register for an account. When you register, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information. You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password and for ensuring that your account is not shared or accessed by others. If you share or give access to your account to anyone else, we reserve the right to terminate your account immediately. If you believe that your account is no longer secure, then you should immediately notify us at [email protected].

4. General Payment Terms

Certain features of the Service, including the purchase or sale of certain Products, may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are denominated in Moroccan Dirhams (MAD) unless otherwise specified and are non-refundable unless otherwise specifically provided for in these Terms.

Payment Partner.

Our payment processing partner is CMI (“Centre Monétique Interbancaire”) as detailed at [CMI](https://www.cmi.co.ma/), ensuring secure and reliable transactions.

Price.

Worx reserves the right to determine pricing for the Service and any fees it may charge on transactions conducted on the Service. Worx will make reasonable efforts to keep pricing information published on the Service up to date. We encourage you to check our pricing page periodically for current pricing information. Worx may change the fees for any feature of the Service, including additional fees or charges, if Worx gives you advance notice of changes before they apply. Worx, at its sole discretion, may make promotional offers with different features and different pricing to any of Worx’s customers. These promotional offers, unless made to you, will not apply to your offer or these Terms.

Authorization.

You authorize Worx to charge all sums for the orders that you make and any level of Service you select as described in these Terms or published by Worx, including all applicable taxes, to the payment method specified by you.

5. Licenses

Limited License

Subject to your complete and ongoing compliance with these Terms, Worx grants you, exclusively for your personal use, a time-limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one object code copy of any mobile or other downloadable application associated with the Service (whether installed by you or pre-installed on your mobile device by the device manufacturer or a wireless telephone provider) on a mobile device that you own or control; and (b) access and use the Service. The foregoing license does not include a license to any Products, which will be granted by the applicable Seller, if at all.

License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of the Service; (b) make modifications to the Service; or (c) interfere with or circumvent any feature of the Service, including any security or access control mechanism. If you are prohibited under applicable law from using the Service, then you may not use it.

Feedback

We respect and appreciate the thoughts and comments from our users. If you choose to provide input and suggestions regarding existing functionalities, problems with, or proposed modifications or improvements to the Service (“Feedback”), then you hereby grant Worx an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Service and create other products and services. We will have no obligation to provide you with attribution for any Feedback you provide to us.

6. Ownership; Proprietary Rights

The Service is owned and operated by Worx. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), software, services, and all other elements of the Service, but excluding any Products, provided by Worx (“Materials”) are protected by intellectual property and other laws. All Materials included in the Service are the property of Worx or its third-party licensors. Except as expressly authorized by Worx, you may not make use of the Materials. There are no implied licenses in these Terms and Worx reserves all rights to the Materials not granted expressly in these Terms.

7. Third-Party Terms

Third-Party Services and Linked Websites

Worx may provide tools through the Service that enable you to export information, including User Content, to third-party services, such as social media platforms, or to link your account with a third-party service. Third-party services are not under Worx’s control, and Worx is not responsible for any third-party service’s use of your exported information or the accuracy and security of such services. Please review the terms of use and privacy policies of any third-party services before linking or sharing content with them.

Third-Party Software

The Service may include or incorporate third-party software components provided under open-source or free software licenses. Nothing in these Terms limits your rights under these licenses.

8. User Content

User Content Generally

The Service may allow users to upload, share, or publish content, including text, images, and other materials (collectively, “User Content”). You retain ownership of your User Content but grant Worx a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your User Content as necessary to operate the Service.

Content Representations and Warranties

You represent and warrant that your User Content does not violate any applicable law or infringe the rights of any third party. Worx reserves the right to remove or block any User Content that violates these Terms.

Monitoring and Enforcement

While Worx is not obligated to monitor User Content, it reserves the right to review, remove, or disable access to any User Content that violates these Terms.

9. Prohibited Conduct

You agree not to engage in the following prohibited activities:

Using the Service for any illegal purpose or to promote unlawful activities.
Posting or transmitting content that is defamatory, obscene, pornographic, harassing, or otherwise objectionable.
Attempting to interfere with or disrupt the Service, including by introducing viruses or exploiting vulnerabilities.
Collecting personal information from other users without consent.
Violating any applicable laws or regulations.

Violation of this section may result in the suspension or termination of your account.

10. Indemnity

You agree to indemnify and hold Worx harmless from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Termination by Worx.

Worx may suspend or terminate your access to the Service at any time, with or without cause, including if you violate these Terms.

Effect of Termination.

Upon termination, your license to use the Service will immediately cease, and Worx may delete your account and associated data.

12. Disclaimers and Limitation of Liability

Disclaimer of Warranties.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Worx disclaims all warranties, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability.

To the maximum extent permitted by law, Worx's liability for any claims arising out of or relating to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.

13. Dispute Resolution

General Dispute Resolution Process.

Any disputes arising under these Terms shall first be attempted to be resolved through informal discussions between you and Worx. If the dispute is not resolved informally within 30 days, it will proceed to formal resolution as described below.

Binding Arbitration.

Except for disputes that qualify for small claims court, all disputes arising out of or related to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the Moroccan arbitration body. Arbitration shall be conducted in Casablanca, Morocco, in the Arabic language, unless otherwise agreed by the parties.

Class Action Waiver.

You agree that any dispute will be resolved individually and not as part of a class, collective, or representative action.

Court Jurisdiction.

For any disputes that are not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Casablanca, Morocco.
